Terms and Conditions for Sellers on Tkts Line

Introduction

These Terms and Conditions ("Terms") govern your use of the Tkts Line Website, located at https://tkts.g2s.app, hereafter referred to as "Tkts line" or "the Website," provides a Website for companies (hereafter referred to as "Sellers") sell event tickets to users (hereafter referred to as "Buyers"). By using our Website, you agree to these Terms and Conditions in full. If you disagree with these terms and conditions or any part of these terms and conditions, you must not use our Website

Fees and Payments

  • Convenience Fee: Tkts Line charges a convenience fee of 2% on each purchase. This fee is transferred directly to Tkts Line.
  • Payment Gateway Fee: The payment processing fee is determined by the payment gateway provider and is deducted from the total payment. Tkts Line uses Stripe for Sellers outside Brazil and Efipay for Sellers in Brazil. You can check the applicable fees on the respective websites: Stripe (https://stripe.com/pricing) and Efipay (https://sejaefi.com.br/tarifas).
  • Direct Payments to Tkts Line: When Buyers pay directly on the Website, they are charged both the convenience fee and an average payment gateway fee. The convenience fee is transferred directly to Tkts Line, while the payment fee is deducted by the payment gateway, with the remainder transferred to the Seller.
  • Direct Payments to Sellers: If Buyers pay directly to the Seller and receive a voucher for use on the Website, only the convenience fee will be applied. All convenience fees accrued during the month must be paid by the Seller to Tkts Line by the 5th of the following month. The payment method for this transaction will be agreed upon with the Seller.

Seller Responsibilities

  • Support: As a Seller, you are responsible for providing customer support to your Buyers. Tkts Line will only provide support to Sellers.
  • Event Management: Sellers acknowledge that Tkts Line is merely a Website for ticket sales. The responsibility for the event, its quality, and any associated customer support lies solely with the Seller.

Third-Party Services

Tkts Line utilizes various third-party services for functions such as payment processing, email sending, email validation, hosting, and other necessary operations to maintain the the Website. These third-party services are integral to the functioning of the Website but may occasionally cause disruptions or unavailability of the Website. While Tkts Line is not responsible for any issues arising from these third-party services, we will take all reasonable measures to stabilize and restore the service as quickly as possible in the event of any disruptions.

Sellers Support

Tkts Line provides support to Sellers via email at support@g2s.app. We aim to respond to all inquiries within 48 hours. However, during active selling periods, priority will be given to Sellers to ensure smooth operations. Please note that all support is provided exclusively through email.

Setup Fee

Tkts Line charges a one-time setup fee of 50 CAD for new Sellers. This fee covers the setup of your first event and seat map in collaboration with you. The setup process ensures that your event is correctly configured on the Website, allowing for a smooth selling experience.

Intellectual Property Rights

All intellectual property rights in and to the Website, including but not limited to software, logos, trademarks, service marks, content, designs, and any associated materials (collectively, "Tkts Line Intellectual Property"), are owned by or licensed to Tkts Line. Sellers do not acquire any rights or licenses to Tkts Line Intellectual Property other than as expressly granted under these Terms.

Limited License to Sellers

Tkts Line grants Sellers a limited, non-exclusive, non-transferable, revocable license to use the the Website solely for the purpose of listing and selling event tickets. This license does not permit Sellers to copy, modify, distribute, or create derivative works based on the Website or any Tkts Line Intellectual Property.

Obligations of Confidentiality

The Receiving Party agrees to maintain the confidentiality of the Disclosing Party's Confidential Information and to use it solely for the purposes of fulfilling its obligations under these Terms. The Receiving Party shall not disclose Confidential Information to any third party without the prior written consent of the Disclosing Party, except as required by law or as necessary to perform its obligations under these Terms.

Exclusions from Confidentiality

Confidential Information does not include information that:
a. Was known to the Receiving Party before disclosure by the Disclosing Party;
b. Becomes publicly available through no fault of the Receiving Party;
c. Is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information; or
d. Is disclosed to the Receiving Party by a third party who has no obligation of confidentiality to the Disclosing Party.

Return or Destruction of Confidential Information

Upon termination of these Terms or upon request by the Disclosing Party, the Receiving Party shall return or destroy all copies of the Confidential Information in its possession and certify such return or destruction in writing.

Legal Disclosure

If the Receiving Party is required by law to disclose any of the Disclosing Party's Confidential Information, it shall provide prompt written notice to the Disclosing Party (to the extent legally permissible) to allow the Disclosing Party to seek a protective order or other appropriate remedy.

Taxes

Sellers are solely responsible for all tax obligations and duties, both domestic and international, arising from the sale of tickets on the Website.

5. Refunds and Cancellations of Tickets

Any refunds or cancellations are subject to the terms and conditions of the Seller. Tkts Line is not responsible for issuing refunds or handling cancellations. All such requests must be directed to the Seller.

Termination by Seller

Sellers may terminate their use of the Website at any time by providing Tkts Line with at least 30 days' written notice. Upon termination, the Seller's account will be deactivated, and any ongoing events may be subject to cancellation unless otherwise agreed upon.

Termination by Tkts Line

Tkts Line reserves the right to terminate or suspend a Seller's account with at least 30 days' written notice. However, Tkts Line may terminate or suspend the account immediately, without prior notice, if the Seller breaches any of the Terms, engages in fraudulent activity, or if Tkts Line believes that the Seller's actions may cause harm to the Website, other users, or the public.

Effects of Termination

Upon termination, the Seller will lose access to their account and the Website. Any pending transactions will be processed according to the usual procedures, and any outstanding fees owed to Tkts Line must be paid within 30 days of termination.

Survival of Terms

The provisions of these Terms that by their nature should survive termination, including but not limited to payment obligations, confidentiality, intellectual property rights, and liability limitations, shall survive any termination or expiration of the Seller's account.

Event Management After Termination

If a Seller’s account is terminated while events are still active, the Seller is responsible for ensuring that any ongoing events are either completed or properly managed post-termination. Tkts Line will not be responsible for managing any events after a Seller’s account is terminated unless a separate arrangement has been made.

Compliance with Data Protection Laws

Both Tkts Line and Sellers agree to comply with all applicable data protection and privacy laws, and any other relevant local laws.

Collection and Use of Data

Tkts Line collects and processes personal data related to Sellers and Buyers as necessary to operate the Website, provide services, and comply with legal obligations. By using the Website, Sellers consent to the collection, use, and processing of their personal data in accordance with Tkts Line’s Privacy Policy.

Seller Responsibilities

Sellers are responsible for ensuring that any personal data they collect, process, or store in connection with their events complies with all applicable data protection laws. Sellers must obtain the necessary consents from Buyers before collecting or using their personal data, particularly for marketing purposes.

Data Security

Tkts Line implements appropriate technical and organizational measures to protect personal data against unauthorized access, loss, or misuse. However, Sellers acknowledge that no system is completely secure, and Tkts Line cannot guarantee the absolute security of any data transmitted or stored on the Website.

Data Sharing and Third-Party Processors

Tkts Line may share personal data with third-party service providers (such as payment processors and email service providers) to the extent necessary to operate the Website and fulfill obligations under these Terms. Tkts Line ensures that any third-party processors are bound by contractual obligations to protect personal data in accordance with applicable laws.

Rights of Data Subjects

Buyers and Sellers have rights regarding their personal data, including the right to access, correct, or delete their data, and the right to restrict or object to certain processing activities. These rights can be exercised in accordance with Tkts Line’s Privacy Policy.

Liability

Tkts Line is not liable for any issues arising from the event, including but not limited to cancellations, postponements, or changes to the event. The Seller bears full responsibility for these matters.

Sellers shall indemnify and hold Tkts Line harmless against any claims, damages, liabilities, and expenses (including legal fees) arising out of or related to any disputes with the Buyer, provided that such disputes are not a direct result of Tkts Line's negligence or misconduct.

All the event informations are filled by the Seller, and Tkts Line is not responsible for any incorrect information provided by the Seller.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of British Columbia, Canada. Any disputes relating to these terms and conditions shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.

Acceptance of Terms

By using the Website, Sellers acknowledge that they have read, understood, and agreed to these Terms and Conditions.
